Proper Barber Club Website Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Proper Barber Club website www.properbarber.club, owned by Proper Barber Club Franchising Limited, our online booking system, and any content or services made available through them (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Site.

1. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You are responsible for:

  • Ensuring that your use of the Site complies with all applicable laws
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account

We reserve the right to suspend or terminate your access to the Site if we believe you have violated these Terms.

2. Account registration

To book appointments or purchase memberships online, you may be required to create an account and provide accurate, complete information. You agree to:

  • Keep your information up to date
  • Keep your password secure
  • Notify us promptly of any unauthorized use of your account

We may refuse registration or close accounts at our discretion, subject to applicable law.

3. Online bookings and purchases

The Site may allow you to:

  • Book or manage appointments
  • Purchase memberships, gift cards, or products
  • Update payment details

All bookings and purchases made through the Site are subject to availability and our applicable Membership Terms, in club policies, and any additional terms displayed at the time of purchase or booking.

We reserve the right to correct errors, including typographical errors, pricing errors, and service descriptions, and to cancel or refuse any order affected by such errors, even if you have received confirmation, subject to any rights you may have under consumer protection laws.

4. Pricing, taxes, and payment

Prices displayed on the Site are in Canadian dollars unless stated otherwise and are subject to applicable taxes.

We may change prices for services, memberships, and products at any time. Such changes will not affect confirmed orders that we have already accepted, but may affect future purchases or renewals.

Payments are processed through third party payment providers. By submitting payment information, you authorize us and our payment providers to charge your payment method for the amounts due.

5. Intellectual property

All content on the Site, including text, images, logos, graphics, video, and design elements, is owned by Proper or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may:

  • View pages on the Site for your personal, non commercial use
  • Print or download a single copy of reasonable portions of the Site for your own use

You may not:

  • Copy, reproduce, republish, upload, post, transmit, or distribute any content for commercial purposes
  • Modify, reverse engineer, or create derivative works from the Site or its content
  • Use any branding, trademarks, or logos without our prior written consent

6. User content and reviews

If the Site allows you to post reviews, comments, or other content (“User Content”):

  • You are solely responsible for your User Content.
  • You represent that you have the necessary rights to submit such content and that it does not infringe any third party rights or violate any law.
  • You grant Proper a worldwide, non exclusive, royalty free license to use, reproduce, modify, publish, and display your User Content in connection with our business, in any media now known or later developed.

We may remove or edit User Content at our discretion, but we do not have an obligation to do so.

7. Prohibited uses

You agree not to:

  • Use the Site in any way that could damage, disable, overburden, or impair it
  • Use automated means such as bots or scraping tools to access the Site without our permission
  • Attempt to gain unauthorized access to accounts, systems, or networks
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Site to harass, abuse, or harm another person
  • Use the Site for any illegal or unauthorized purpose

11. Limitation of liability

To the fullest extent permitted by law, Proper and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data, arising out of or in connection with your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the Site will not exceed the greater of:

  • The amount you paid to us for the specific transaction giving rise to the claim, or
  • $1.00 dollar.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnity

You agree to indemnify and hold harmless Proper and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses, including legal fees, arising out of or related to:

  • Your use of the Site
  • Your breach of these Terms
  • Your violation of any law or third party rights

13. Changes to the Site and Terms

We may update the Site and these Terms from time to time. Changes are effective when posted on the Site, unless otherwise indicated. If we make material changes, we may provide additional notice, such as by email or a notice on the Site.

Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable in Nova Scotia, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts of Nova Scotia for the resolution of any disputes, subject to any non waiverable rights you may have under applicable consumer laws.
